Terms & Conditions (Supplier)
Welcome to the Ucommerce registration portal for suppliers. This supplier agreement imposes the terms and conditions under which the supplier may offer the goods/ services to Ucommerce on its e-commerce platform. The following are the main terms & conditions for you if you are ready to give stock for sale purposes:
- Agreement Acceptance:
Registering as a supplier with the Ucommerce platform must be bound by this agreement. It’s a binding agreement with all the legal conditions between you and Ucommerce. If you are not ready to accept the agreement, you will not be eligible to offer your goods or services to Ucommerce.
- Supplier Eligibility:
If you want to offer your goods or services to the company, you must fulfill the following eligibility requirements:
- Your business must be a registered entity (legally) within the territory where you operate.
- You need to provide accurate & biased information about your business, like business name, address, contact info, and tax identification number.
- Also, provide complete & accurate information about the products/ services you want to offer to Ucommerce.
- Ucommerce has the right to cancel and reject the supplier agreement at any time for any reason.
- Fulfills Quality Standards:
As a supplier, you must incorporate the quality control system for the products or services you want to offer to Ucommerce. Also, you need to maintain specific quality standards to avoid any malfunction in the quality control mechanism. We can check the product’s and service quality whenever needed.
- Intellectual Rights:
You must agree that you have the right to use the intellectual rights in the products you are ready to supply. Also, you don’t have the right to breach any third-party intellectual property.
- Secrecy:
The supplier agrees to maintain the confidentiality of any information, whether proprietary or sensitive, provided by the Ucommerce website, like client data, pricing information, and other business secrets.
- Non-Proprietory:
Ucommerce has the right to purchase products from other suppliers or acquire the services of other suppliers, too. So, the supplier must agree that they do not have any issue with this.
- Order Procedure:
When you list the products from your side, Ucommerce has the right to sell them from its Ucommerce platform. Next, you shall made the new available inventory within a few working hours.
- Marketing/ Promotion Criteria:
- Ucommerce owns the right to make marketing and promotion of the supplier’s products worldwide without claiming the third-party rights.
- Also, the supplier grants the company to remanufacture, distribute, and display the supplier’s product images and other essential descriptions to promote and market the product on any social media or other platform.
- If the company wants to modify the changes in any product images and descriptions for marketing purposes, then the company owns this right.
- If a loss or damage is incurred to the supplier’s materials during the marketing and promotional efforts, then Ucommerce will not be responsible for covering such loss.
- The supplier grants the company the right to use the intellectual property rights in case of any modifications or alterations we want to add to the product for marketing purposes.
- Payment Criteria:
- 1-10th of the month in between 20-23rd of the month.
- 11-20th of the month in between 30th of this month and 3rd of the next month.
- 21-31st of the month in between 10-13th of the next month.
Suppose goods are being delivered by any of the logistic companies, in case of a failed delivery. In that case, the shipment will be returned to the supplier when it immediately arrives at the shipment company’s facility if all the agreement requirements are fulfilled. The payment will only be made through a bank transfer.
- Other Important Representations from Supplier:
As a supplier, you must represent or warrant that:
- The goods and services you agree to provide must be processed through all the standards and are in better quality condition.
- Suppliers must comply with all the applicable laws & regulations, including but not limited to product manufacturing, packaging, labeling & goods or services sales relating laws.
- The supplier must provide the products/ services by not violating the intellectual property rights or proprietary rights on behalf of the third party.
- Recompensation/ Reimbursement:
If you breach any agreement clauses or point at any stage, the supplier is responsible for making an indemnification. In this case, the indemnifyer is accountable for covering the damage or loss he caused to the company and covers all the expenses, liabilities, and costs. If the supplier violates the third party’s intellectual or proprietary rights, the supplier will also be responsible.
